Returns & exchanges

Since COVID-19, we have changed our policy in order to protect our employees and our customers from any additional risk. We will not be accepting returns of any merchandise until further notice. This policy applies to all our stores. Once a product has left the store, we cannot accept it back and give an exchange or refund.

Previous return & exchange policy (before April 7, 2020)

We are more than happy to exchange merchandise not used, unwashed, unaltered, with ALL original packaging still intact within 72 hours of the purchase date or confirmation of UPS delivery. Please note that items marked Final (after 72 hours of purchase) cannot be exchanged. Within the 72-hour “cooling off” period, orders can be modified and merchandise can be exchanged. After the 72-hour period has passed, commissions from the sale of the product are distributed to the distributors of Sleepm Global Inc. To be eligible for return within the cooling-off period, Sleepm products must be in sanitary condition, clean and free of tears, burns, and stains of any kind; unused, unaltered, undamaged, and unwashed; and include all original packaging materials and accessories. Except where prohibited by law, a 15% restocking and shipping fee may be charged on returned merchandise. Refunds may only be made if merchandise is in “as-new” condition, will be in the same form as the original payment, and issued only to the individual(s) listed in the invoice.

To reiterate, all returns and exchanges must meet the following requirements:

• Initiated within 72 hours of purchase or receiving the order.
• Unused, unaltered, undamaged, and unwashed.
• Original packaging intact.

Refunds (only if applicable). To complete your return we require a receipt or proof of purchase. Return your product to: 365 Cloverleaf Drive Suite A, Baldwin Park, CA 91706, United States. You are responsible for your own return shipping costs, which are non-refundable. Once your return is received and inspected, we will email you to confirm receipt and notify you of the approval or rejection of your refund.

Please include the following when emailing us about returns or exchanges:

• Full name
• Phone number
• Distributor ID #
• Item(s) being returned or exchanged
• Reason for the return or exchange

Distributor Member Terms & Agreement

Please read this Member Agreement (“Agreement”) carefully. When you become a distributor after signing our online or physical application form, you acknowledge that you have read and understand this Agreement, and any documents incorporated by reference, and that you agree to be bound by it. The following terms and conditions govern the relationship between the Sleepm Member (“Member,” “you” or “your”) and SLEEPM GLOBAL INC. (“Sleepm,” “we,” “our” or “us”). Unless otherwise clearly distinguished, the Agreement applies to all Members in its entirety.

1. Policies and related documents included. All policies referenced in this Agreement, available on Sleepm.com or otherwise communicated by Sleepm and intended to apply to Members — including the Founder Member’s Package, with all amendments — are incorporated by reference. Contravention of applicable Sleepm General Policies and Procedures is a breach of this Agreement.
2. Membership fee. There is no annual Membership Fee. To qualify as a VIP Gold or Silver Founding Member you must purchase the minimum amount of Sleepm products required under Sleepm’s Global Founder Member Initiative Notification.
3. Online service. You may become a Member by approaching Sleepm directly, through a current Member, or via Sleepm’s website, which includes a personalized online account. You must safeguard your password and are responsible for all activity on your account.
4. Credit and credit authorization. You authorize Sleepm to contact a credit bureau if needed and to request other references, or Sleepm may refuse or revoke credit or Membership. Any credit extended assists you in purchasing Sleepm products for resale. Sleepm may request a deposit and may increase, decrease or revoke credit at its discretion. You covenant that you have the financial means to be a Member.
5. Credit card payments. Members who pay by credit card are refunded directly to their card for any returns or cancellations that are not non-refundable.
6. Social insurance number. You must provide your SIN to support Sleepm’s tax-reporting obligations should you become eligible for profit sharing. Sleepm keeps this confidential per its Privacy Statement; failure to provide it means no profit sharing will be paid.
7. Certification of registration information. You certify that all information you provide to verify your identity, financial situation, reputation and expertise is complete, accurate and true.
8. Standards for your business. You operate your own business and are solely responsible for your business plan. You undertake to (a) reflect the highest standards of integrity, honesty and responsibility; (b) make no statements or acts that impair Sleepm’s name, reputation or goodwill; and (c) respect the integrity of all Sleepm products — they cannot be tampered with or altered before delivery to consumers.
9. Service standards. You are responsible for providing consistent, timely service to your customers and recruits.
10. Independent representative status. As a Member you act on your own behalf and are not an agent, employee, franchisee or joint venturer of Sleepm; you cannot bind Sleepm; and as an independent contractor you are responsible for your own taxes and for complying with all legal and regulatory requirements, including consumer-protection, privacy and anti-spam laws.
11. Advertising and promotion. All advertising bearing Sleepm’s trademarks must conform to Sleepm’s Advertising & Promotion Policies (Schedule A). Online you may only use the official personalized web page designed by Sleepm; you may not sell or promote via eBay, Amazon, Kijiji or similar, or register domains, keywords or metatags containing Sleepm’s marks.
12. Prohibited sales. Selling Sleepm products at flea markets and garage or yard sales is prohibited without written consent; this Agreement grants no right to sell to wholesalers, retailers or other business entities.
13. Confidential information of other representatives. You will not use or disclose confidential information about other Members, their business or customers, and will notify Sleepm of any such requests or breaches.
14. Customer / contact information. You agree to keep all customer and contact information confidential, use it only to fulfill orders and communicate about your Sleepm business, not disclose it to third parties, honour opt-out requests, and handle it per all applicable laws.
15. Communications. Members are responsible for complying with all federal and state anti-spam legislation and regulations.
16. Orders and pricing. Sleepm’s advertised prices are retail prices for each campaign only and exclude applicable taxes. Nothing obliges Sleepm to accept any order or to enter into any further agreement.
17. Shipping and handling. You may be charged shipping and handling fees to cover a portion of Sleepm’s delivery costs.
18. Delivery time and charges. Where daily delivery is unavailable, it is your responsibility to determine order deadlines and to explain to customers that late orders may ship in the next campaign or incur additional charges.
19. Membership status. Your discount, fees, payment terms and profit-sharing entitlement may change with your Membership Status (per the Founder Member’s Package). Benefits and recognition are conditional on your account remaining in good credit and good standing.
20. Price changes. In exceptional cases, prices may change mid-campaign; you will be notified, and changes apply to orders finalized after the change.
21. Delivery subject to availability. Delivery is always subject to availability. Submitting an order reserves expected inventory (none for drafts). If an advertised item is unavailable when your order ships, we will notify you.
22. Receipts and cancellation notices. If delivering directly to a customer, you must provide written or printable electronic receipts and information about the buyer’s cancellation rights.
23. Sleepm guarantee; returns, replacement and refunds. All returns must be reasonable in Sleepm’s sole discretion. Requests or products received after the stated return periods will not be honoured. Excessive or improper returns may be deemed abuse and result in suspension or termination. When a product is returned, related discounts, profit sharing, bonuses and incentives are deducted.
24. Invoicing. An invoice is issued for each Member’s order.
25. Payment. You must pay the amount due — including applicable taxes and fees — by the due date on each invoice. Card Members must keep a card on file. Methods include one-time card payments, recurring pre-authorized debit, cash, WeChat Pay, AliPay, PayPal, certified cheque, bank draft, e-transfer or (at Sleepm’s discretion) personal cheque. You authorize Sleepm to charge your card or debit your account for amounts due and to set off amounts you owe; pre-authorized debit terms, waivers and recourse rights apply as described in the Agreement.
26. Debt. Sleepm may offset any outstanding balance against profit sharing or other payments, withhold such payments, and suspend incentives. Failure to pay entitles Sleepm to take legal measures to collect, including engaging a collection agency and charging applicable fees; collection communications are sent by email.
27. Overdue payments. If payments are overdue you may be unable to place orders, credit shipments may be halted, or your account frozen. Sleepm may offset and withhold payments, suspend benefits, and take legal measures to collect.
28. Frozen accounts. If your account is frozen for non-payment, you may not submit further orders — even with available credit — until your balance and any fees are paid. Submitted orders are cancelled without notice and reserved inventory released, and you forfeit any incentive or reward you would otherwise receive.
29. Payment information. You consent to providing Sleepm with the information necessary to process your payments under this Agreement and Sleepm’s Privacy Statement.
30. Fees / charges. You agree to pay fees and charges Sleepm communicates from time to time, including: (a) purchases to qualify as a VIP Gold or Silver Founding Member; (b) NSF cheque charges; (c) administration charges for incomplete transactions; (d) value-added service fees; (e) late-payment fees; (f) administration fees on overdue accounts; (g) return shipping charges; and (h) collection, legal and court fees.
31. Limitation of liability. Sleepm will not be liable for indirect, special, incidental, consequential or exemplary damages, including loss of profits. Sleepm’s total liability for any claim will not exceed the amounts you paid to Sleepm under this Agreement.
32. Age. You certify that you are 18 years of age or older.
33. Changes / modifications. Sleepm may change or modify any terms or policies, or terminate this Agreement, by giving notice; continuing as a Member constitutes acceptance. Sleepm may discontinue products, change prices, discount schedules or compensation and profit sharing, or end incentive programs at any time without notice.
34. Privacy. Sleepm protects the confidentiality of your personal information in compliance with applicable privacy laws and its privacy statement.
35. Publicity release. You consent to Sleepm publicizing your name, photo, performance statistics and testimonials, without payment, for any Sleepm-related purpose, and waive privacy and moral rights therein. If you provide a testimonial, you represent it is your own, not previously published, non-infringing, and not false or misleading.
36. Breach. If you breach this Agreement, Sleepm may withhold profit sharing and other benefits and payments pending after a sale, and may deduct or set off amounts you owe.
37. Termination. Either party may terminate at any time for any or no reason by giving notice. Sleepm may terminate if your practices do not reflect its standards of integrity and honesty. Upon a Member’s death, the Agreement terminates immediately. On termination or breach, Sleepm may reassign your customers to another Member, but you remain liable for any outstanding balance.
38. Entire agreement. This Agreement, with all incorporated documents, addenda and amendments, replaces prior contracts and constitutes the entire agreement between the parties.
39. Assignment. Your Sleepm business and its rights and obligations are personal and may not be sold, transferred or assigned without Sleepm’s prior written consent. Sleepm may transfer, sell or assign this Agreement.
40. Governing law and jurisdiction. This Agreement is governed by the laws of the United States of America and the law of any state where business is conducted.
41. Notice. You will specify an email address for notices about administration of this Agreement and will be legally bound by notice provided that way. You must also check your personal Sleepm home page for messages.
42. Updates / revisions. Sleepm may update or modify the Agreement at its sole discretion; Members will be notified.
43. Choice of language. The parties have required that this Agreement and all related documents and amendments be drawn up in English.
44. Enurement. This Agreement enures to the benefit of and binds the parties and their respective successors and permitted assigns.
45. Remedies cumulative. The rights and remedies are cumulative; using one does not preclude the others, and they are in addition to any other rights at law.
46. No contra proferentem. In construing this Agreement, the doctrine of contra proferentem shall not apply.
47. Severability. If any provision is found void or unenforceable, it is severed and the balance of the Agreement remains in full force.
48. Headings. Headings are for convenience only and do not add to or limit the covenants.
49. Waiver of breach. Failure to require performance, or waiver of a breach, does not prevent later enforcement and is not a waiver of subsequent breaches.
50. Amendment and waiver. No amendment is valid unless in writing and executed by all parties. No waiver is binding unless in writing and signed by the party giving it.
51. Counterparts. This Agreement may be executed in counterparts and by facsimile or PDF, each an original and together one instrument.
52. Secrecy. The Member shall keep all confidential information about Sleepm, its business, trade secrets, customers, suppliers and affairs in complete secrecy, and shall not use or disclose it in any way that may injure Sleepm.
53. No third-party beneficiaries. No person other than the parties is entitled to the benefit of any provision or has any rights under this Agreement.
54. Gender neutral. A pronoun in one gender includes the other where the context permits, and vice versa.
